11. OwnershipoftheVeganAustraliaCertifiedLabelandpowersofVegan Australia

11.1. Vegan Australia is the owner of the Vegan Australia Certified Label and isthe only entity empowered to authorise the use of the Vegan Australia Certified Label.

11.2. TheVeganAustraliaCertifiedLabelmayonlybeusedby:

(b) Applicants on Vegan Australia Certified Products in accordance with rule 10.1;and

(c) Any other organisation or individual who is permitted by Vegan Australia to use the Vegan Australia Certified Label on VeganAustralia Certified Products for promotion or marketingpurposes.

11.3. Use of the Vegan Australia Certified Label in accordance with these rules willnot affectthepropertyorotherrightsintheVeganAustraliaCertifiedLabel.

11.4. If any Applicant is or becomes aware of any unauthorised use of the Vegan Australia Certified Label or similar mark, it will immediately bring this to the attention of Vegan Australia which may take any action it deems appropriatein thecircumstancetoprotectandenforceitsrightsinthatmark.

如果任何申请人发现或发现任何未经授权使用澳大利亚素食认证标签或类似标志的情况，将立即提请澳大利亚素食协会注意，澳大利亚素食协会可在其认为适当的情况下采取任何行动，以保护和执行其在该标志上的权利。

11.5. No Applicant may commence any infringement or other legal action in connectionwiththeuseoftheVeganAustraliaCertifiedLabelorsimilarmark byathirdpartywithoutthepriorwrittenconsentofVeganAustralia.

11.6. Vegan Australia has the right to delegate any one or more of its powers in relation to these rules to an appropriately qualified and independentnominee appointed in writing. The decision of any such delegate will be binding and effective in the same way as any decision made by Vegan Australia in accordance with theserules.

12. DisputeResolution  争议解决

12.1. AnApplicantmayrequestreconsiderationofanydecisionwhichrelatestoany act or application in connection with these rules, by providing written notification to VeganAustralia.

申请人可以通过向澳大利亚素食协会提供书面通知，要求重新考虑与本规则或行为相关的任何决定。

12.2. WherethedisputerelatestoadecisionmadebyVeganAustraliainrelationto the failure of an application forCertification:

(a) written notification of an intention to appeal the decision must be sent to the Chairperson of the Vegan Australia board of directors withinten(10)businessdaysofreceiptoftheinitialrefusal;and

申请人必须在收到初步拒绝后的十（10）个工作日内，将对决定提出上诉的书面通知发送给素食澳大利亚董事会主席；

(b) an appeals committee established by VeganAustralia will be convened within ten (10) business days to hear the matter upon receipt of the letter notifying intention toappeal.

12.3. Thedecisionofthecommitteedescribedinrule12.2(b)isfinalandbinding upon both Vegan Australia and theApplicant.

12.4. Where the dispute relates to any other matter, one or more Vegan Australia representatives will meet with the disputant within ten (10) business days of receiving the written notice under rule 12.1 to try to resolve the dispute. A meeting between the parties will either be held at the regular businessoffices ofVeganAustralia,alocationasagreedbytheparties,orviateleconference.

12.5. If the dispute is not resolved at the meeting described in rule 12.4, the parties agree to appoint, within one month of that meeting, an appropriately qualified independent person or body to hear and make a determination on the dispute. Intheeventthatthepartiescannotagreeonapersontodeterminethedispute, the Chairperson of the Vegan Australia board of directors will be given the authority to nominate and appoint such a person. The parties agree that any decision made by the independent person appointed to resolve the dispute will be confidential and be binding on theparties.

13. Revocation of Vegan Australia Certifiedrights

13.1. Vegan Australia may revoke the Certification of a Vegan Australia Certified Product on reasonablegrounds.

澳大利亚素食协会可能会出于合理的理由撤销澳大利亚素食认证产品的认证资格。

13.2. Reasonablegroundsforrevocationinclude,butarenotlimitedto:

合理的撤销理由包括但不限于：

(a) BreachofanyoftheserulesbyanApplicant;

(b) Failure of the Applicant to maintain the criteria upon which the Certification was granted for the Products including paymentof licencefees;

(c) Submission of false or misleading information by an Applicant to VeganAustraliarelatingtoitsapplicationforCertificationorinthe course of regular correspondence or anyAudit;

申请人向澳大利亚素食协会提交与认证申请有关的虚假或误导性信息，或在定期通信或任何审计过程中提交的虚假或误导性信息；

(d) FailuretosubmitrequireddocumentationaspartofanAuditinthetime frame specified by VeganAustralia;

(e) AnyrealandseriousreputationalrisktoVeganAustralia,Vegan Australia Members and affiliated partner organisations and individuals.

13.3. Applicants which have had their Certification revoked in accordance with these rulesmayaftertwelve(12)monthsreapplyforCertificationinaccordancewith the standard Certificationprocess.

14. General  概述

14.1. Vegan Australia does not warrant or represent that the use of the Vegan Australia Certified Label is guaranteed to confer any financial or other benefit on an Applicant, and to the full extent permitted by law, Vegan Australia excludes all liability for loss, damage or liability suffered or incurred by an Applicant in reliance on the Vegan Australia Certified Label. To the extent that anyliabilityofVeganAustraliaisnotexcludedbythisruleitislimited,tothefull extent permitted by law, to an obligation to supply the relevant services that it has provided under theserules.

澳大利亚素食协会不保证或表示，使用澳大利亚素食认证标签保证会给申请人带来任何经济或其他利益，并且在法律允许的最大范围内，申请人因依赖素食澳大利亚认证标签而遭受或招致的损害，澳大利亚素食协会不承担任何责任。在不违反本规则的情况下，在法律允许的最大范围内，澳大利亚素食协会仅限于提供本规则规定的相关服务的义务。

14.2. While Vegan Australia will use reasonable efforts to ensure that all uses of the Vegan Australia Certified Label are made in accordance with these rules, it will notbeheldresponsibleforanydamage,lossorliabilitysufferedorincurredby any Applicant by the breach of these rules by another Applicant or by any use oftheVeganAustraliaCertifiedLabelbyanyotherparty.

澳大利亚素食协会将尽合理努力确保所有使用的澳大利亚素食认证标签均符合本规则的规定，但若任何申请人因另一申请人违反本规则或任何其他方使用澳大利亚素食认证标签而遭受或招致的损失或责任，澳大利亚素食协会不承担任何责任。

14.3. Vegan Australia shall establish and maintain a register which shall contain details of all licensed users of the mark. The register shall be kept at the principal office of Vegan Australia and shall be open to the inspection of the publicduringthenormalbusinesshoursofthesaidprincipaloffice.

澳大利亚素食协会应建立并保存一份登记册，其中应包含商标所有持牌用户的详细信息。登记册应保存在澳大利亚素食协会总办事处，并应在该总办事处的正常营业时间开放供公众查阅。

14.4. Applicants who use the Vegan Australia Certified Label pursuant to these rules donotdosoasagentsoractorsof VeganAustralia. VeganAustraliaacceptsno responsibilityfortheactsoromissionsofanyusebytheApplicantoranyother party.

根据本规则使用澳大利亚素食认证标签的申请人不得作为澳大利亚素食协会的代理人或行动者。澳大利亚素食协会对申请人或任何其他方的任何使用行为或疏忽概不负责。

14.5. Vegan Australia may amend these rules from time to time with the prior consent of the Australian Competition and Consumer Commission. Any changes which have an effect on Applicants will be advised by Vegan Australia in writing toallApplicantswithinten(10)businessdaysoftheamendedrulescominginto operation.
